Terms & Conditions

1. Agreement to Term

These Terms & Conditions (“Terms”) form a legally binding agreement between Rempo LLC (“Company,” “we,” “us,” “our”) and you (“Client,” “you”). By accessing or using any Rempo websites, software, dashboards, mobile applications, or related services (collectively, the “Services”), you agree to be bound by these Terms.

If you do not agree with these Terms, you must discontinue use of the Services.

The Services are intended for users who are at least 18 years of age.

2. Description of Services

Rempo provides software and automation tools that support business operations including, but not limited to:

Review generation (SMS, email, QR, automations)
Reputation monitoring & alerts
AI-powered review responses
Social proof (widgets, posts, auto-publishing)
CRM, calendar, and customer communication tools
Marketing automations
Future add-on modules (AI agents, social media tools, insights dashboards, etc.)

Rempo continually updates and improves its Services. Features may be added, removed, or modified at any time.

3. Eligibility & Account Registration

To use the Services, you must:

Provide accurate account information
Maintain the confidentiality of your login
Be responsible for all activity under your account

We reserve the right to refuse or terminate accounts at our discretion.

4. Purchases, Payments & Subscriptions

Billing

All subscriptions automatically renew until canceled.
You authorize Rempo to charge your payment method for recurring fees.
Prices may change with notice, where legally required.

Cancellations

You may cancel anytime through your account or by contacting support.
Cancellations take effect at the end of the current billing period.
No prorated refunds are issued.

Refunds

All fees are non-refundable except where required by law.

5. Client Responsibilities

You agree to:

a. Provide Accurate Customer Data

All contact information you upload must be lawful, accurate, and obtained with proper consent.

b. Maintain Legal Compliance

You are solely responsible for compliance with all applicable laws, including:

U.S. CAN-SPAM Act
TCPA (Telephone Consumer Protection Act)
CASL (if messaging Canadian customers)
State privacy laws (CCPA/CPRA if applicable)

You must not upload or send messages to individuals who have not consented or who have

opted out.

c. Integrations

If you connect third-party systems (e.g., Google, CRM, email provider):

You grant Rempo permission to access and use those systems as needed.
You are responsible for keeping integrations active and valid.

6. Messaging & Automation

By using Rempo, you authorize us to send communications such as:

Review requests
Follow-ups
Notifications
Reminders

Messages may be sent through SMS, email, voice, or app-based channels, depending on your configuration.

Default Scripts & Cadence

If you do not customize messaging content or timing, you approve Rempo’s default templates and schedules.

Content Liability

You are fully responsible for:

The content of all messages sent through our platform
The frequency of communications
Honoring opt-out requests

Rempo is not responsible for any legal consequences resulting from improper message use.

7. Prohibited Uses

You may not:

Use the Services for illegal activity
Harass or spam customers
Access the platform using bots, scrapers, or automation without permission
Attempt to reverse engineer or misuse the software
Upload harmful code
Impersonate others
Interfere with system security
Send unsolicited communications without proper consent

Violations may result in immediate suspension or termination.

8. Data Use, Storage & Privacy

Rempo collects and stores account data, customer data, and interaction logs necessary to operate the Services.

We retain data only as long as reasonably required for:

Service delivery
Legal compliance
Security
Backup and recovery

Clients may request permanent deletion of their data.

Rempo follows industry-standard security practices but does not guarantee that unauthorized access will never occur.

9. Service Limitations & No Guarantees

You acknowledge that:

Rempo does not guarantee any number of reviews or positive reviews
Sending review requests may result in both positive and negative feedback.
Third-party platforms (Google, Meta, SMS carriers, etc.) may affect service performance.
Temporary downtime may occur due to maintenance or external dependencies.

The Services are provided “as is” without warranties of any kind.

10. Intellectual Property

All software, content, branding, features, automations, and intellectual property remain the exclusive property of Rempo LLC.

You may not copy, resell, reverse engineer, or distribute any part of the Services without written permission.

11. Termination & Suspension

We may suspend or terminate access if:

You violate these Terms
Messaging laws are violated
Payments fail
Your usage creates security or reputational risks

Upon termination:

Your access to the platform ends
Scheduled messages stop
Data may be deleted according to policy

12. Limitation of Liability

To the fullest extent permitted by law:

Rempo is not liable for indirect, incidental, or consequential damagesTotal liability for any
Total liability for any claim is limited to the amount paid in the prior 30 days.

You agree that Rempo is not responsible for:

Negative reviews
Customer reactions to messages
Loss of revenue, reputation, or data
Third-party platform changes or outages
Actions caused by integrations you enable

13. Indemnification

You agree to indemnify and hold harmless Rempo LLC from any claims, damages, losses, costs, or liabilities arising from:

Sending communications without consent
Violating SMS/email laws
Misuse of the Services
Uploading unlawful content
Breaches caused by your integrations or actions

This survives termination.

14. Modifications to Terms

Rempo may update these Terms at any time. Updates will be posted on the website. Continued use of the Services constitutes acceptance of revised Terms.
